These terms apply to all services provided by Kusuma Digital Solutions ("we," "us") to the client ("you"). By engaging our services — in writing, by email, or by payment — you agree to these terms.
1. Services
Kusuma Digital Solutions provides the following services to small businesses, primarily in the St. Louis metropolitan area:
- Website design and development
- Local SEO and Google presence management
- Monthly website care and maintenance plans
- Google Business Profile setup and optimization
- Custom tools and automation
- Full-stack development (hourly or project-based)
The specific deliverables for your project are defined in a written quote or email confirmation. If it's not in that document, it's not in scope.
2. Project Scope & Changes
Work begins based on the agreed scope. If you request additions or changes that fall outside the original agreement, we'll provide a separate quote before proceeding. We won't do work we haven't agreed on — and we won't charge you for anything we haven't quoted.
Scope changes must be confirmed in writing (email is fine). Verbal agreements don't count.
3. Payment
Website projects (one-time)
- 50% deposit is required before work begins. This secures your spot in the schedule.
- 50% balance is due on project delivery, before site launch.
- We don't launch until the balance is paid.
Monthly services (SEO, care plans)
- Billed monthly, in advance, at the start of each billing cycle.
- First month is due before work begins.
Hourly work
- Invoiced weekly, payable within 7 days.
- Rate is $85/hour unless otherwise agreed in writing.
Late payments
Invoices unpaid after 15 days may result in a pause on all active work until the balance is settled. We'll send a reminder before pausing — we'd rather keep working than chase invoices.
All prices are in US dollars.
4. Intellectual Property
Upon receipt of full final payment, you own everything we built specifically for your project: the website code, the design, the written copy we created, and the graphics we produced.
What you don't own:
- Third-party assets used in the project (fonts, stock images, icon libraries, plugins) — these remain subject to their own licenses.
- Kusuma Digital Solutions' internal tools, frameworks, or code libraries used as building blocks — these remain ours, though we grant you a perpetual license to use them as part of your site.
We reserve the right to display completed work in our portfolio and to mention you as a client (e.g., on our website or in proposals). If you'd prefer we don't, tell us — we'll respect that.
5. Client Responsibilities
To keep projects on schedule, we need your help. Specifically:
- Provide all content (text, images, logos, branding assets) by the agreed deadline.
- Review and approve (or request revisions on) deliverables within 5 business days of delivery.
- Respond to questions within a reasonable timeframe.
Delays caused by you — late content, slow feedback, extended approvals — will push the delivery date back by an equivalent amount. We won't rush subsequent phases to compensate for client-caused delays.
You are responsible for the accuracy and legality of all content you provide. If you give us text that infringes someone else's copyright or contains false claims, that's on you.
6. Third-Party Services
Our work often involves setting up or configuring third-party platforms — Google, Netlify, Cloudflare, and others. We are not responsible for:
- Outages or downtime on those platforms
- Price increases or plan changes those services make
- Policy changes that affect functionality (e.g., Google algorithm updates)
We'll adapt our work when platforms change, but we can't control what those platforms do.
7. No Guarantee of Results
We do not guarantee specific search rankings, traffic numbers, lead volumes, or revenue outcomes. SEO is influenced by hundreds of factors outside our control — Google's algorithm, your competitors, your market, and your industry's search demand.
What we do guarantee: honest effort, transparent reporting, and work done to a professional standard. If something isn't working, we'll tell you — and we'll tell you why.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Kusuma Digital Solutions is not liable for:
- Lost profits, lost revenue, or lost business opportunities
- Data loss or corruption (back up your own data)
- Indirect, incidental, or consequential damages of any kind
- Failures or outages caused by third-party platforms we don't control
Our maximum liability in any situation is limited to the total fees you paid us in the 30 days before the claim arose.
9. Termination
Monthly services
Either party may cancel a monthly service (SEO, care plan) with 30 days' written notice. You owe payment for all work completed and billed up to the termination date. No refunds for the current billing period.
One-time projects
Once a one-time project has begun, it cannot be cancelled without forfeiting the deposit. If you choose to stop mid-project, you owe for all work completed to date, which may be more than the deposit depending on progress.
We may also terminate
We reserve the right to terminate the working relationship if you are abusive, make unreasonable demands, or fail to pay. We'll give you written notice before doing so.
10. Governing Law
These terms are governed by the laws of the State of Missouri. Any disputes that can't be resolved between us will be handled in the courts of St. Louis County, Missouri.
11. Changes to These Terms
We may update these terms occasionally. The "Last Updated" date at the top of this page will reflect any changes. If you're an active client when terms change, we'll let you know by email. Continued engagement after a change means you accept the updated terms.
